930269 - Secretary

We are currently looking to recruit a Secretary for a contract position based in the Inverness area

The main responsibility of the role is to help the board fulfil its responsibilities by:

* Organising induction programs
* Providing detailed information on board members obligations and rights as a board member
* Help board members access the training and development opportunities
* Advising on the business processes used by the board

Duties will include but not be limited to:

  • Providing advice on all aspects of governance and identifying and implementing good practice in governance.
  • Maintaining a code of conduct for the Board of Management and register of interests of members; and advising members of declarations of interest.
  • Drawing up for approval, and keeping under review, standing orders for the conduct of business of the Board of Management and its committees.
  • Preparation and maintenance of governance documentation, policies and procedures
  • Facilitating communication on Board of Management matters
  • Facilitating agenda-setting and preparing Board and committee papers and materials.
  • Attending all meetings of the Board of Management and its committees, giving advice on procedure at such meetings and preparing minutes of the proceedings.
  • Giving administrative support as required
  • Arranging Board self evaluation and training, including away days.
  • Induction of new Board members.
  • Maintaining an attendance record of members
  • Administering any scheme for the reimbursement of members' expenses and acting as budget holder for the Board


  • Relevant knowledge of governance requirements.
  • Understand and maintain confidentiality.
  • Strong mediation and negotiation skills.
  • Ability to work on own initiative to defined time lines.
  • Organised and systematic approach.
  • A relevant legal, corporate financial (or similar) professional qualification at honours degree-level or above
